Terms of Service

These Terms of Service (“Terms”) govern your use of the pegbitstudio.com website, the AI Brief feature, the PegBit client portal at clients.pegbitstudio.com, and the Growth Partner / Channel Partner referral program (together, the “Services”), operated by PegBit Technologies Ltd (“PegBit”, “we”, “us”). By using any of the Services you agree to these Terms. If you do not agree, please do not use the Services.

If you or your organisation has signed a Master Service Agreement, Statement of Work, Non-Disclosure Agreement, or Data Processing Agreement with us, that signed agreement governs the engagement it covers, and takes precedence over these Terms wherever the two conflict. These Terms otherwise apply to everyone’s use of the Services generally.

1. Use of the site

You may use the Services for lawful purposes only. You agree not to misuse them, interfere with their operation, attempt to gain unauthorised access to any account or data that isn’t yours, or use automated means to place excessive load on our services. We may rate-limit, suspend, or restrict access to protect the service.

2. The AI Brief feature

The AI Brief generates automated, informational content based on inputs you provide. It is offered on an “as is” basis for general guidance only. It is not professional, legal, financial, or technical advice, and its output may be inaccurate or incomplete. You are responsible for how you use any output. Do not submit sensitive or confidential information through the feature.

3. The client portal

The client portal is invite-only. Access is granted by PegBit staff, and you sign in using a one-time link sent to the email address on file for your account — keep that email account secure, since anyone with access to it can sign in as you. You are responsible for all activity on your account and must notify us promptly at info@pegbitstudio.com if you suspect unauthorised access.

Client-role accounts may only view projects, documents, and data belonging to their own organisation. You agree not to attempt to access another organisation’s data, probe the portal for vulnerabilities, or share your sign-in access with anyone outside your organisation without our consent. We may suspend or terminate portal access at any time, particularly to protect the security of the portal or other clients’ data, or on termination of the underlying engagement.

Contracts, statements of work, change orders, and other documents exchanged or signed through the portal (once e-signature is enabled) are governed by their own terms and by the applicable Master Service Agreement — these Terms govern your use of the portal itself, not the substance of any agreement you sign through it.

4. Growth Partner / Channel Partner Program

The Growth Partner / Channel Partner Program is an informal, revocable referral arrangement, not a contract of employment, agency, partnership, or exclusivity of any kind. Participating doesn’t cost anything and doesn’t require a signed agreement. Current reward tiers, eligibility rules, and payment timing are published on the program page and may change from time to time — the terms in effect at the time an introduction is made are the ones that apply to it.

PegBit decides, in its reasonable discretion, whether an introduction qualifies as a valid referral (for example, whether the business was already in conversation with us beforehand) and whether and when a reward is owed. Rewards are paid only once the referred client has signed and their qualifying payment has cleared, using the payment details you provide us directly. You are responsible for any taxes owed on rewards you receive. We may change or end the program at any time; doing so doesn’t affect rewards already earned for introductions made before the change.

5. Intellectual property

The content, branding, and design of the Services are owned by PegBit or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, or reuse them without permission, except as permitted by law. Ownership of intellectual property created in a client engagement is governed by the separate written agreement for that engagement.

6. No warranties

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or fully secure.

7. Limitation of liability

To the fullest extent permitted by law, PegBit will not be liable for any indirect, incidental, or consequential damages, or for any loss arising from your use of, or reliance on, the Services, including the AI Brief output, the client portal, or the referral program. Nothing in these Terms limits liability that cannot be limited under the Nigeria Data Protection Act 2023 or other applicable law.

8. Indemnity

You agree to indemnify and hold PegBit harmless from claims, losses, or expenses arising from your misuse of the Services, unauthorised access to another organisation’s data through your account, or your breach of these Terms, except to the extent caused by our own negligence or breach.

9. Third-party links and services

The Services may link to, or rely on, third-party websites and products (for example, our AI, email, and hosting providers). We are not responsible for the content, policies, or practices of those third parties.

10. Changes to these Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. For material changes affecting active clients or portal users, we’ll take reasonable steps to let you know.

11. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. You agree that the courts of Lagos, Nigeria will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Services.
